Terms and Conditions for Selecta Sol

These Terms and Conditions (“Terms”) govern the use of services provided by Selecta Sol (“Service Provider,” “we,” “us,” or “our”). By engaging our services, you (“Client” or “you”) agree to comply with and be bound by the following Terms. Please read them carefully.

  1. Agreement Overview

This Agreement is entered into between Selecta Sol and the Client for the provision of Website/Software Development and Digital Marketing Services, and any additional services as specified in the contract.

  1. Services Provided

The services provided under this Agreement may include, but are not limited to:

  • Website Development/Software Development
  • Search Engine Optimization (SEO)
  • Pay-Per-Click (PPC) Campaign Management
  • Social Media Management
  • Content Creation and Management
  • Ongoing Maintenance and Support

Details of the specific services provided are outlined in the signed contract between Selecta Sol and the Client.

  1. Client Responsibilities
  • The Client must provide all necessary materials, access to existing websites, hosting, domain information, and any required documentation or content in a timely manner to facilitate the services provided by Selecta Sol.
  • The Client must provide feedback, approvals, or revisions as requested by Selecta Sol in a timely manner to ensure progress.
  • The Client agrees to pay all fees for services rendered as per the agreed contract terms. Failure to make timely payments may result in delayed or suspended services.
  • The Client is responsible for ensuring that all content provided for website development is accurate, legal, and does not infringe on any third-party rights.
  1. Service Provider Responsibilities
  • Selecta Sol agrees to provide the services outlined in the signed contract, in accordance with industry best practices, and within the agreed-upon timelines.
  • We implement appropriate security measures to protect personal information and data provided by the Client.
  • We will provide updates on the status of the project and/or digital marketing performance as per the agreed reporting schedule.
  1. Payment Terms
  • The total cost and any recurring monthly charges for services are outlined in the signed contract.
  • Payment for services may be due in installments, with the first payment due at the start of the project. Subsequent payments will follow the agreed schedule, as outlined in the contract.
  • Payments not received by the due date will incur a late fee of $100 if overdue by 30 days. If payments remain outstanding for more than 15 days, Selecta Sol. reserves the right to suspend work until payment is received.
  • A 50% non-refundable deposit is required for all fixed-price projects. The remaining 50% is due once 50% of the work is completed and the Client has approved the progress.
  1. Refunds and Cancellations
  • Refunds are not provided once work has commenced, except in the case of unused services or failure to meet agreed-upon specifications.
  • Cancellation of services after work has started will result in the Client being invoiced for completed work.
  • If the Client cancels services before work has begun, a full refund will be issued for payments made.
  • Specific refund terms are outlined in the Refund Policy, which forms part of these Terms and Conditions.
  1. Intellectual Property and Ownership
  • The Client will own the final deliverables, including the website and content, upon full payment. 
  • Any digital marketing strategies, keywords, or techniques implemented remain the property of Selecta Sol. until fully paid for. Upon full payment, rights to the work (if any) will transfer to the Client.
  • No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

 

  1. SEO and PPC Services
  • Selecta Sol does not guarantee specific results from SEO or PPC campaigns. While we employ proven strategies, results depend on many factors outside our control, including algorithm changes, competition, and market conditions.
  • Selecta Sol will manage PPC campaigns as agreed, but the Client understands that the performance of the campaigns is subject to the individual network’s policies and classifications.
  • SEO and PPC campaigns will be monitored, and reports will be provided to the Client as per the agreed-upon reporting schedule.
  1. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of this agreement. This includes, but is not limited to, business strategies, marketing plans, financial information, and customer data.

  1. Data Protection

Selecta Sol is committed to protecting the Client’s personal and business data in accordance with applicable data protection laws. We will not share, sell, or rent any personal or business data to third parties without the Client’s consent, except as necessary to fulfill services or as required by law.

  1. Limitation of Liability
  • Selecta Sol will not be liable for any indirect, special, consequential, or incidental damages, including data loss or business interruption, arising from the use of our services.
  • We are not liable for any issues caused by third-party services, such as hosting providers, domain registrars, or advertising platforms.
  1. Termination
  • The Client may terminate this agreement with written notice, subject to the terms outlined in the Refund Policy. The Client is still responsible for payment for services rendered up to the point of termination.
  • Selecta Sol reserves the right to terminate the agreement if the Client fails to comply with the terms, including non-payment or providing illegal or offensive content.
  1. Governing Law and Dispute Resolution
  • This agreement shall be governed by and construed in accordance with the laws of Delaware, USA.
  • Any disputes arising under this agreement shall be resolved through binding arbitration in Delaware courts, unless otherwise mutually agreed upon by both parties.
  1. Amendments

Selecta Sol reserves the right to modify or update these Terms and Conditions at any time. Any changes will be communicated to the Client, and continued use of services will constitute acceptance of the revised Terms.

  1. Severability

If any provision of these Terms and Conditions is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.

  1. Entire Agreement

These Terms and Conditions, along with the signed contract and any other documents referenced herein, constitute the entire agreement between Selecta Sol and the Client.
